Terms of Use – EL-IoT.net

1. General
   These Terms of Use ("Terms") apply to the web-based IoT device management and monitoring system ("Service") provided by Novosec Oy’s EL-IoT.net ("Provider"). By using the Service, you agree to these Terms.
2. Right to Use
   The Provider grants you a non-exclusive, non-transferable, and revocable right to use the Service solely for your internal purposes related to IoT device management and monitoring.
3. User Account
   Use of the Service requires registration. You are responsible for the accuracy of the information provided and for keeping your login credentials confidential.
4. Usage Restrictions
   The user agrees not to:
   • use the Service for unlawful or inappropriate purposes,
   • disrupt or attempt to breach the Service,
   • transfer or share access rights with third parties without written permission.
5. Data Protection and Personal Data
   Processing of personal data within the Service is governed by the Privacy Policy. The user confirms they have the right to input and manage personal data of third parties, if such data is used.
6. Availability and Changes
   The Provider strives to keep the Service available without interruption but does not guarantee continuous or error-free availability. The Service may be updated, changed, or discontinued without notice.
7. Intellectual Property
   All rights related to the Service, including source code, user interface, databases, and content, belong to the Provider or its licensors. No part of the Service may be copied, reproduced, or distributed without written permission.
8. Limitation of Liability
   The Service is provided "as is." The Provider is not liable for direct or indirect damages arising from use or unavailability of the Service, except where required by law.
9. Pricing and Billing
   The Service is subject to a fee. Users may choose between:
   • Annual billing: One-time upfront payment for 12 months of use.
   • Quarterly billing: Payment made four times per year, each covering 3 months.
   • Emails sent by system are free of charge but SMS notifications are billed retroactively (10 eurocents / SMS).
   Prices are based on the current price list available on the Provider’s website or in a separate agreement. The Provider reserves the right to adjust prices with 30 days' notice before a new billing cycle. Late payments may result in suspension of Service access until payment is received.
10. Limitation of Liability – IoT Communication
    The Provider is not responsible for any disruptions, delays, or errors caused by third-party network providers (e.g., mobile operators, Wi-Fi networks, wireless protocols). The user is responsible for ensuring that their network environment is suitable and functional.
11. Term and Termination
    These Terms remain in force until further notice. The user may stop using the Service at any time. The Provider may terminate access without prior notice if the user violates these Terms or payment obligations. Prepaid fees are non-refundable unless otherwise agreed.
12. Governing Law and Dispute Resolution
    These Terms are governed by Finnish law. Any disputes will first be resolved through negotiation. If no resolution is reached, disputes will be handled by the District Court of Helsinki.
